Subject to these Terms & Conditions, MediaSource hereby authorises the Subscriber to use AdSource, together with the data contained therein, from the date hereof until termination of the Subscriber's subscription for any reason. In the event of your being allowed access on a trial basis, you are subject to the same terms and conditions during the period of the trial as if you had subscribed, whether or not the trial affords access to the full service. Your registration for and/or use of AdSource (whether on a subscription or trial basis) shall constitute your agreement to and acceptance of these Terms and Conditions.1.0 Licence
1.1 This is your agreement with MediaSource covering your subscription to its AdSource media management service.
1.2 AdSource is an online database containing information about media titles, and other non-media information to enable you to use that information in accordance with this Agreement. It is your responsibility to satisfy yourself that AdSource will meet your particular needs.
1.3 Your subscription to AdSource comprises the following rights:
(a) the right to use MediaSource's valuable information contained in AdSource; and
(b) the right to access the online application for accessing, searching and displaying on a selective basis the information contained in AdSource; and
(c) the right to use the user instructions both in printed and electronic help screen format.
1.4 The scope and limits of your non-exclusive, non-transferable licence to use AdSource are set out in this Agreement.
1.5 Due to its policy of updating and improving AdSource, MediaSource may wish to change the terms of this Agreement. When any terms are changed, MediaSource will notify you by post and/or email, such notice being effective three days after posting or being emailed as the case may be. If you use AdSource after that time, you are agreeing now to be bound by those changes. If you do not wish to accept those changes, you should notify MediaSource and the changes will not be effective unless and until your subscription is renewed.
2.1 Each subscription will be for a minimum period of one calendar month.
2.2 Any trial period allowed by MediaSource shall cease automatically at the end of the period specified by MediaSource but may be terminated at any time by MediaSource at its discretion and in the event of termination for any reason your rights hereunder shall immediately end.
3.1 During the Subscription Period, you are permitted to:
(a) Allow AdSource to be used by the number of licensed users in your organisation permitted by your subscription agreement.
(b) Use the online software to search AdSource, retrieve data from it and display that data on screen.
3.2 There are limits on your rights to use AdSource. Accordingly, you are not permitted to do any of the following without the prior written agreement of MediaSource:
(a) loan, copy or lease your login information for AdSource, or any part of the contents of, or the user instructions for AdSource, to third parties;
(b) transfer your subscription or any user licence to any third party;
(c) erase, move or deface any trademark, copyright or database right notice appearing within AdSource.
3.3 Seed data is included in AdSource for the purpose of monitoring compliance with this Agreement.
4.1 If you are paying for your subscription to AdSource by recurring billing to a credit card, you can cancel your subscription at any time using the Cancel Subscription button on the Account Settings page once logged-in to your account and no further charges will be made to your card. Your account will remain active until the next payment due date and will then expire.
4.2 If you are paying for your subscription to AdSource by a payment method other than recurring billing to a credit card, your renewal for the next Subscription Period will take effect if:
(a) you confirm in writing during the last month of your current Subscription Period that you wish to renew for a further Subscription Period; or
(b) you make payment in full for the next Subscription Period
4.3 If you do not renew your subscription by any of the methods mentioned in clauses 4.1 or 4.2, your subscription will expire at the end of the relevant Subscription Period.
4.4 Your rights to use AdSource under this Agreement will terminate immediately in any of the following events:
(a) if you are in breach of this Agreement (including failure to make any payment required under this Agreement) and fail to rectify that breach within seven days of MediaSource giving notice to you; or
(b) if (in the case of a company) you enter into any form of liquidation or have a receiver, manager or administrative receiver appointed over your undertaking or assets or (in the case of an individual) you are made bankrupt or have a bankruptcy petition made against you which is not dismissed within 28 days of presentation.
4.5 If your subscription is terminated for any reason, you shall not be entitled to any refund for the unexpired term of any Subscription Period and shall be liable to MediaSource for the balance of any charges payable for the remainder of the Subscription Period.
4.6 MediaSource may, at its discretion, give you not less than six months notice that it intends to discontinue AdSource. In that event, you will be entitled to receive a reimbursement of any subscription fee that you have paid to MediaSource pro rata in relation to the time remaining of the Subscription Period after the expiry of such notice.
4.7 Upon termination or expiry of this Agreement for any reason, you agree to make no further use of any data whether in electronic or data form obtained from AdSource.
5.1 Any links from AdSource data to other internet sites or information resources are provided for convenience only. MediaSource accepts no responsibility for the content, availability or usability of any such site or resource.
5.2 MediaSource will use reasonable skill and care in making AdSource available to you and will also endeavour to maintain the accuracy of the information through its continuous research programme and through the regular checking and updating of the information within AdSource. However, in view of the constantly changing nature of the media sector, and thus of the information within AdSource, MediaSource cannot accept responsibility for any errors or omission within AdSource, particularly those arising from expired media titles or changes to media information. Furthermore, MediaSource does not make any warranties as to the accuracy, timeliness, completeness, performance or fitness for a particular purpose of AdSource.
5.3 AdSource is supplied to you on an as is basis and has not been designed to your individual business information requirements. It is your sole responsibility to satisfy yourself prior to accepting this Agreement that AdSource will meet your requirements.
5.4 By entering into this Agreement, you shall accept sole responsibility for, and MediaSource shall not be liable for:
(a) your use of AdSource or any part of AdSource or other product which operates with AdSource.
(b) any private data entered into AdSource by you, or those authorised by you to use the service. In this respect you accept full responsibility for the accuracy and legality of such data and for ensuring your use does not breach the rights of any third party; in addition MediaSource accepts no responsibility for maintaining such data nor for its loss, corruption or destruction.
(c) maintaining the confidentiality of your user details and passwords to access the service and for all activity on your account.
(d) ensuring your use of AdSource does not breach any applicable local, national or international laws or other regulations. You hold MediaSource harmless and fully indemnified against any claims (including legal and other costs, damages, losses and liabilities) made by any third parties against you and/or MediaSource arising from such use or from any account information or other data you transmit.
5.5 In no event will MediaSource be liable to you for any loss or damage of any kind, including lost profits or other consequential loss, arising from:
(a) any delay in accessing and/or inability to access the AdSource service whether due to a Force Majeure (as defined in 7 below), electronic malfunction or any unreliability in the service, nor for any failure or disruption of, interruption to or other unavailability of access to the service.
(b) your use of or inability to use AdSource, or from errors or deficiencies in it, or for any damage to or corruption of your data whether caused by negligence or otherwise, except as expressly provided in this Agreement. In no event shall MediaSource's liability exceed the subscription amounts paid by you for the use of AdSource in the current Subscription Period.
5.6 The express terms of this Agreement are in lieu of all warranties and obligations implied by statute, common law or otherwise all of which are hereby excluded to the fullest extent permitted by law. Whilst it is MediaSource's policy to carry out virus checks, in particular MediaSource does not warrant that AdSource is free from infection by viruses or anything else that has contaminating or destructive properties.
5.7 MediaSource cannot ensure that any files you download from AdSource will be free of viruses or contamination or destructive features. MediaSource disclaims all warranties, express or implied, including also any implied warranties of merchantability and fitness for a particular purpose.
6.1 MediaSource's technical support staff will endeavour to answer by telephone or email any queries that you may have regarding your use of AdSource during the Subscription Period.7.0 Force Majeure
7.1 MediaSource will not be considered in default or liable under this Agreement if it fails to perform any of its duties as a result of any act of God, act of government or state, civil commotion, embargo, epidemic, fire, flood, insurrection, war, disablement or interruption to the telecommunications network or any other reason beyond MediaSource's control (Force Majeure).
7.2 In the event of Force Majeure, MediaSource will use reasonable endeavours to overcome such delays.
7.3 If the Force Majeure circumstance continues for a consecutive period of four weeks or more, either of us may give notice to the other to forthwith terminate this Agreement.
8.1 If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
8.2 This Agreement forms the entire agreement between the parties relating to its subject matter. Any variation of this Agreement (except for any variations arising out of clause 1.5) shall be binding only if it is recorded in a document signed by, or on behalf of, all the parties.
8.3 Failure or delay by either party to exercise any right or remedy under this Agreement does not constitute a waiver or bar to exercise of that right or remedy.
8.4 You may not assign, sub-licence or otherwise transfer your rights or obligations under this Agreement.
8.5 This Agreement shall be governed by UAE law and subject to the exclusive jurisdiction of the Dubai Courts. These terms and conditions are to be referred to as dated June 2015 and supersede any previous terms and conditions in use.
